• All quotes are based on our understanding of your requirements and as per the given time frame. Any changes to the functionality may incur additional costs accordingly. Customers must provide us with clear guidelines along with the flow or specific details they may require. At a later stage, if a discrepancy arises, it may lead to additional costs to accommodate the changes. Please ensure and clarify any points with a meeting.

• By accepting a quote, you agree to and accept the terms and conditions of Adroit Infotek Solutions & Services.

• Any complexity related to specific requests must be advised in advance and included in the proposal for quoting purposes. Adroit Infotek Solutions & Services operates in good faith and relies on our customers to disclose all requirements. Adroit Infotek Solutions & Services will not be liable for any discrepancy arising due to unclear requirements.

• Adroit Infotek Solutions & Services will make every effort to complete the project/changes in the given timeframe. Reasonable delays are accepted if functionalities are redefined or modified.

• Any delays from the customer's end may delay the project and proposed timeframes and may incur additional costs.

• Any re-work on an already completed task will lead to additional costs.

• All additional work not included in the quote will be charged separately. Adroit Infotek Solutions & Services will not be liable for any delays caused by changes in the project.

• The customer must recognize that at times there may be unforeseen circumstances that will delay the project. We will try our best to complete the project as agreed in the proposal. As long as it is within a reasonable period, the customer agrees not to penalize Adroit Infotek Solutions & Services for any genuine delay, when every effort to keep the project on the proposed schedule is taken.

• All communications are generally done via email. It is the customers' responsibility to keep Adroit Infotek Solutions & Services updated with their relevant email addresses.

• All prices are quoted in Canadian dollars and are exclusive of all taxes unless specified.

• All invoices are to be processed as per the schedule via your preferred method of payment.

• Receipt of payment is deemed as acceptance of the quote and terms & conditions.

• All accounts are set up on a prepay basis. All pricing is guaranteed for the term of prepayment. Adroit Infotek Solutions & Services serves the right to change prices at any time. Payment is due each anniversary day or period following the date the account was established. Credit card orders that are on a 'month-to-month', 'quarterly', and 'yearly' basis will be charged automatically to the card number on file. If for any reason the card does not clear with the bank on three attempts, the account is subject to suspension. Any account not brought current within a week of email notice or exceeding this time frame in any way is subject to suspension. No bills or invoices will be sent by regular mail. The customer is responsible for all money owed on the account from the time it was established to the time that the customer notified Adroit Infotek Solutions & Services in writing for a request for termination of services. All payments are in Canadian currency by e-transfer, check, or credit card.

• Adroit Infotek Solutions & Services will not be providing any refunds once payment is received.

• Late fees: All outstanding invoices will incur a late payment fee of 10% of the pending amount Outstanding Invoice: An invoice is deemed to be outstanding if the payment is still due after 7 days of the expiry of the due date.

• Customers are provided another 7 days after the late payment fee is applied to pay the invoice. Failure to pay will result in the outstanding amount being referred to a debt collector. Adroit Infotek Solutions & Services will not be liable for any costs associated with the recovery of the outstanding amount. Any costs associated with the recovery of the outstanding amount (debt collectors, administration charges, legal fees) will be referred to the customer for processing.

• Adroit Infotek Solutions & Services reserves the right to cancel services at any time. All fees paid in advance of cancellation will be prorated and paid by Adroit Infotek Solutions & Services if Adroit Infotek Solutions & Services institutes its right of cancellation. If cancellation is caused by the customer's violation of these policies, then no refund is due. All account cancellations must be done in writing via email with a valid signature of the primary contact of the account, the account name, the reason for cancellation, and the payment method. The account will be canceled at the end of the current billing period unless a date of cancellation is specified.

• Adroit Infotek Solutions & Services reserves the right to refuse products/services to any customer, if these are not aligned with our business operating principles and policies.

• The relationship of Adroit Infotek Solutions & Services with its suppliers, partners, and sub-contractors is independent of dealings with the customer. None of the parties have any power, right, or authority to interfere or bind the other or assume or create any obligation or responsibility, whether expressed or implied, on behalf of the other or in the other’s name.

• Customers will indemnify and hold Adroit Infotek Solutions & Services, its licensors, content providers, service providers, employees, contractors, and sub-contractors (the “Indemnified Parties”) harmless from the customer's breach of any of these Terms And Conditions or any other terms, conditions, policies or procedures herein, including, without limitation, any use of content other than as expressly authorized in these Terms and Conditions. The customer agrees that the indemnified parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify and hold harmless the Indemnified Parties from all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of the information obtained from Adroit Infotek Solutions & Services.

• Adroit Infotek Solutions & Services will not be liable for any breach of the agreement that is caused by a matter beyond its reasonable control including Acts of God.
